Payment of Fees

SKYPORTIA.COM retains the authority to impose listing fees on select listings and transaction fees for completed transactions utilizing our Services. Additionally, we may adjust these fees at any time without prior notice.

The User is responsible for all costs related to using the SKYPORTIA.COM Services, including charges, fees, duties, taxes, levies, and assessments. By accessing the Website and using the Services, the User agrees to be of legal age and not prohibited from doing so under applicable laws. The User must maintain their own equipment, such as a computer and internet access, to use the Services. Any fees incurred for access to the Services will be the sole responsibility of the User. Additionally, the User acknowledges that they may receive service announcements and administrative messages from SKYPORTIA.COM while using the Services. The Services are provided on an "as is" basis and SKYPORTIA.COM is not liable for any deletions or failures in storing user communications or settings.

User Registration

While registering for the Website is not required, opting to do so will grant the User a unique user ID and password. It is the User's responsibility to maintain the confidentiality of these login credentials, and they agree to be accountable for any and all activities done using them.

Furthermore, the User agrees not to use anyone else's login information without proper authorization. It is essential that you safeguard your password and use it responsibly for any actions taken through our platform. We cannot be held accountable for any financial loss, inconvenience, or distress resulting from the unauthorized use of your ID, password, credit card number, or account details on SKYPORTIA.COM. You are also responsible for immediately informing us of any non-consensual use of your password or user ID and ensuring that you log out after each session on our website. Failure to comply with this requirement may result in direct or indirect losses or damages, which we will not be responsible for. Additionally, the User must (a) provide accurate information about themselves and their beneficiaries as prompted in the registration form ("Registration Data") on the website; and (b) keep the Registration Data updated promptly to ensure its accuracy, completeness, and currency.

In the event that the User submits false, incorrect, outdated, or incomplete information, or if SKYPORTIA.COM has a valid reason to believe that such information is false, incorrect, outdated, or incomplete, it reserves the right to suspend or terminate the User's account and deny all current and future access to the Website and its Services. Additionally, the User authorizes SKYPORTIA.COM to disclose necessary Registration Data to third parties for the purpose of fulfilling its Services.

Breach and Suspension

In addition to other options available, SKYPORTIA.COM reserves the right to limit user activity, end listings, warn other users of misbehavior, temporarily or permanently suspend registrations, and/or deny access to the website if: (a) the user violates this agreement or its referenced documents; (b) provided information cannot be verified; (c) actions may infringe on third party rights or breach laws, resulting in liability for users and SKYPORTIA.COM; or (d) suspended users may be reinstated at SKYPORTIA.COM's discretion.

After being indefinitely suspended, users are prohibited from registering or attempting to register with SKYPORTIA.COM, or utilizing the website in any way until they have been reinstated. However, if a user violates this agreement or any related documents, SKYPORTIA.COM reserves the right to pursue payment for any outstanding balances and may take legal action as deemed necessary.

Ownership Rights

SKYPORTIA.COM may provide the User with a variety of content, including sound, photographs, graphics, and video, which may be protected by intellectual property laws. The User is only permitted to use this material as authorized by SKYPORTIA.COM and is prohibited from copying or creating derivative works without permission from Almar International. Additionally, the User agrees not to share any copyrighted content on or through the Website without consent from the owner. Any approved copyrighted material must include proper attribution. Unauthorized distribution of copyrighted content is a violation of the law and may result in personal liability or criminal charges for the User.

Relationship

The provisions, terms, and conditions, notices, and right to use the Website by the User, as stated in this Agreement and other sections of the Website and/or Linked Sites, do not imply a partnership between the User and SKYPORTIA.COM. Neither party has authority to bind or act as agent for the other. However, if the User allows SKYPORTIA.COM and its agents to access third-party sites on their behalf for retrieving information through the Website, they are considered to have appointed SKYPORTIA.COM and its agents as their agent for this task.

Headings

The headings and subheadings provided are for convenience and identification purposes only. They are not meant to explain, interpret, define, or restrict the scope, extent, or purpose of this Agreement. Similarly, they do not dictate how the User may use the Website or its sections, pages, or Linked Sites.

Interpretation

The terms and conditions contained herein shall be applicable to both the singular and plural forms of the defined terms. Any pronoun used in this agreement shall encompass both masculine and feminine genders, as necessary. The words "include," "includes," and "including" shall be interpreted without limitation. Unless explicitly stated otherwise, the terms "herein," "hereof," "hereto," and similar words refer to this Agreement as a complete document.

Compensation

The User hereby agrees to protect and safeguard SKYPORTIA.COM, and cover any losses, liabilities, claims, damages, costs, and expenses (including legal fees and disbursements), as well as applicable interest charges. These may arise from any violation or failure to fulfill a representation, warranty, covenant, or agreement made by the User under this Agreement and/or the Terms of Service.

Severability

In the event that any part or provision of this agreement is deemed invalid or unenforceable, the remaining parts and provisions shall still remain valid and enforceable.

Notices

Any notices or communications, including those regarding changes to the TOS, Service, or termination of Service, must be provided in written English. They will be considered delivered if presented in person, via commercial messenger or courier service, registered or certified mail (with return receipt requested), or sent through email/facsimile (with proof of complete transmission). These can be addressed to either Telspace LLC at support@telspace.us or the address listed on the Website; to a non-registered User at the contact information provided on their application for a SKYPORTIA.COM Service; or to a registered User at the email/contact information given on their registration form. Notice will be deemed received 48 hours after it has been sent, unless the sender becomes aware that the email address is invalid.

Governing Law

The terms of this agreement and its associated services will be bound by the laws of the United States, regardless of any conflicting principles. Any disputes arising from this agreement will be under the sole jurisdiction of the US court system.
